These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you", or "your") and SOLIZY LLC ("Synquake", "Company", "we", "us", or "our") governing your access to and use of the Synquake website, applications, software, APIs, integrations, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
You must be at least eighteen (18) years old to use the Service.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
Synquake is a software platform that enables synchronization, transfer, transformation, automation, and management of data between third-party systems, databases, content management systems, applications, and services.

The Service depends upon third-party platforms and APIs which are not owned or controlled by Synquake.
You agree to:
You are responsible for all activities occurring under your account.
You retain ownership of all data submitted, transferred, synchronized, uploaded, or processed through the Service ("Customer Data").
You grant Synquake a worldwide, non-exclusive license to host, process, store, transmit, copy, transform, and otherwise use Customer Data solely as necessary to provide, maintain, secure, and improve the Service.
You are solely responsible for:
You acknowledge that synchronization actions may modify, overwrite, merge, duplicate, move, or delete data.
CUSTOMERS ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF ALL DATA STORED IN CONNECTED SYSTEMS.
Synquake does not guarantee recovery of deleted, modified, corrupted, or overwritten data.
The Service interacts with third-party platforms, including but not limited to database providers, content management systems, website builders, cloud services, and APIs.
Synquake is not responsible for:
Your use of third-party services remains subject to their respective terms and policies.
Certain features, connectors, integrations, or functionality may be designated as alpha, beta, preview, experimental, or early-access features.
Such features:
Use of experimental functionality is entirely at your own risk.
Certain features require a paid subscription.
You agree to pay all applicable fees.
Subscriptions automatically renew unless canceled before the next billing period.
All fees are exclusive of taxes unless otherwise stated.
Except where required by law, payments are non-refundable.
Refunds may be granted solely in cases where the Service experiences a material malfunction directly attributable to Synquake and such malfunction substantially prevents use of paid functionality.

We reserve the right to suspend or terminate accounts that violate this section. Additional requirements are described in the Acceptable Use Policy.
Synquake may implement usage limits, rate limits, throttling, quotas, and other technical controls.
We may suspend or restrict accounts that create excessive operational, security, or infrastructure burdens.
The Service, software, technology, trademarks, logos, interfaces, documentation, and related materials are owned by Synquake or its licensors.
No ownership rights are transferred to you.
If you provide suggestions, ideas, enhancement requests, recommendations, or feedback, you grant Synquake a perpetual, irrevocable, worldwide, royalty-free right to use such feedback without restriction or compensation.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNQUAKE DISCLAIMS ALL WARRANTIES, INCLUDING:
SYNQUAKE DOES NOT GUARANTEE UNINTERRUPTED OPERATION, ERROR-FREE FUNCTIONALITY, OR CONTINUOUS DATA SYNCHRONIZATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
SYNQUAKE SHALL NOT BE LIABLE FOR:
THE TOTAL LIABILITY OF SYNQUAKE SHALL NOT EXCEED THE GREATER OF:
(A) USD $100; OR
(B) THE FEES PAID BY CUSTOMER TO SYNQUAKE DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Synquake and its officers, directors, employees, affiliates, and contractors from any claims, damages, liabilities, losses, costs, and expenses arising from:
We may suspend or terminate access at any time for violation of these Terms or to protect the integrity, security, or operation of the Service.
Upon termination:
Following account closure or termination, Synquake may permanently delete Customer Data without further notice.
Deleted data may not be recoverable.
Synquake shall not be liable for delays or failures caused by events beyond reasonable control, including:
Use of the Service is subject to the Privacy Policy.
We may modify these Terms from time to time.
Updated versions become effective upon publication.
Continued use of the Service constitutes acceptance of revised Terms.
These Terms shall be governed by the laws of Georgia, excluding conflict-of-law rules.
The courts of Georgia shall have exclusive jurisdiction over disputes arising from these Terms or the Service.
These Terms, together with the Privacy Policy, Refund Policy, Data Processing Agreement (where applicable), and any incorporated policies, constitute the entire agreement between the parties.
